Gregory's position at Pride Park is unclear after ''serious allegations" were made against the former Aston Villa boss.
His future at the club had been the subject of intense speculation anyway after a series of poor results which pushed Derby precariously close to the relegation zone.
Burley has been looking to get back into management after being sacked by Ipswich last October
The Scot has been linked with a number of jobs including the Sunderland and Fulham posts, but Derby have moved to appoint him in the hope of leading the club to safety in Division One.
Burley was delighted to be given the opportunity at Pride Park.
He said: "I am delighted to be involved with Derby County. Derby is rich in football history and it is an honour to be asked to be part of the club. I am looking forward to the challenges ahead."
Rams chairman Lionel Pickering feels Burley is the right man to take the reins at the club, as he added: "George is highly respected for his abilities as a football manager and his integrity as an individual and is exactly the type of person Derby needs at this juncture."
